Terms of Service
Last updated 7 Nov 2026
These terms are the agreement between Junction Software (we, us) and the business that signs up (you). By starting a trial, signing in or paying, you agree to them on behalf of your business. If you don't agree, don't use the service.
1. The service
Stock Junction and the other Junction apps (the service) are online software for stock, purchasing, costing and related work, connected to services you choose such as Shopify and Xero. The service is for businesses. You confirm you are using it for a business, not as a consumer for personal, domestic or household use.
We can change, add or remove features at any time. If we remove something you pay for, we'll tell you first and stop charging for it.
Apps or features marked Beta are early versions. They are given as they are, may change or stop, and are not covered by the Service Level Agreement.
2. Accounts and trials
We approve each new account by hand and can decline one for any reason. A free trial lasts 14 days unless we tell you otherwise. At the end of the trial you choose a plan or the account becomes read only.
Every person who signs in needs their own login. Don't share logins. You are responsible for everything done under your logins and for keeping passwords and two-step codes safe. Tell us straight away at help@junctionsoftware.com.au if you think a login has been misused.
3. Fees and payment
Fees are as shown on our pricing page or in your account under Settings › Billing, in Australian dollars, and exclude GST unless stated. They are charged monthly in advance. Extra use (transactions, SKUs and users over your plan) is worked out from your use in the month and charged with the next month.
A transaction is an order placed in your connected store in the month, not counting test or cancelled orders.
We can change prices with 30 days' notice by email. The new price applies from your next billing month after the notice ends. If you don't accept it, you can cancel before then.
Fees are not refundable, including for part months, unused features or downtime, except where the law says otherwise or the Service Level Agreement gives a credit.
If a payment fails or an invoice is more than 14 days overdue, we can make the account read only until it is paid, and suspend it after 30 days.
4. Cancelling
You can cancel at any time from your account or by emailing help@junctionsoftware.com.au. Cancelling takes effect at the end of the billing month you are in. After that your account is read only, so you can still see and export your data. We keep it until you ask us in writing to delete it.
We can end this agreement with 30 days' notice for any reason, or straight away if you breach these terms, don't pay, or use the service in a way that puts us, other customers or anyone else at risk.
5. Your data
Your data stays yours. You give us the right to store, copy, process and show it only to run, support and improve the service, and as the law requires. We don't sell it.
You are responsible for your data being accurate and lawfully collected, including personal information about your customers, staff and suppliers, and for having any consent or notice the law requires to share it with us. Our Privacy Policy explains how we handle personal information.
We back up the service, but we are not your only record. Keep your own records, and export anything you can't afford to lose.
6. Connected services
Shopify, Xero, QuickBooks, payment providers, email and other services you connect are run by others under their own terms. We are not responsible for them, for their outages or changes, or for what they do with data you send them. If one of them changes or withdraws what the service relies on, we may have to change or stop a feature.
You choose what the service sends to them. Check what is created in them (invoices, bills, credit notes, stock levels and product details) before relying on it.
7. Figures and advice
The service works out figures such as cost of goods sold, margins, stock values, reorder suggestions and reports from the data it is given. They are tools, not accounting, tax, legal or financial advice. You and your accountant are responsible for your books, tax returns, BAS, stock valuations and business decisions.
8. Using the service properly
You must not: break the law with it; upload anything harmful, infringing or that you have no right to share; try to get into accounts or data that aren't yours; test, probe or overload the service's security or systems; copy, resell, or build a competing product from it; or scrape or reverse engineer it, except where the law allows.
9. Ours
We own the service, its software, designs, names and logos, including Stock Junction, Stage Call and the Junction apps. You get a right to use it during your subscription, nothing more. If you send us ideas or feedback, we can use them freely.
10. Confidentiality
Each of us keeps the other's non-public business information confidential and uses it only for this agreement, except where it is already public, received lawfully from someone else, or the law requires it to be disclosed.
11. What we promise, and what we don't
We will run the service with reasonable care and skill. Apart from that and the guarantees the law gives you that can't be excluded, the service is given as it is and as available. We don't promise it will be uninterrupted, error free, fit for your particular purpose or that it will meet every need.
Nothing in these terms excludes rights you have under the Australian Consumer Law that can't be excluded. Where the law lets us limit our liability for a failure to meet a guarantee, our liability is limited, at our choice, to supplying the service again or paying the cost of having it supplied again.
12. Limit of liability
To the extent the law allows:
- we are not liable for any indirect or consequential loss, or for loss of profit, revenue, sales, goodwill, data, or business interruption, however caused, even if we were told it might happen;
- we are not liable for loss caused by connected services, your data or settings, your staff, your equipment or internet connection, or events outside our reasonable control;
- our total liability to you for everything arising from this agreement or the service, whether in contract, negligence or otherwise, is limited to the fees you paid us in the 3 months before the event that gave rise to the claim.
A claim must be made in writing within 12 months of the event that gave rise to it.
13. Your indemnity
You agree to cover us for loss, cost (including reasonable legal costs) and claims from others that arise from your data, your use of the service in breach of these terms or the law, or a dispute between you and your customers, staff, suppliers or connected services.
14. Events outside our control
We are not responsible for delay or failure caused by things outside our reasonable control, including outages of hosting, internet or connected services, cyber attacks, power failures, natural disasters, pandemics, war, strikes and changes in law.
15. Changes to these terms
We may update these terms. If a change is significant, we'll email your account's admin at least 30 days before it applies. Using the service after that means you accept the change.
16. General
These terms, the Service Level Agreement and the Privacy Policy are the whole agreement between us about the service. If part of them can't be enforced, the rest still applies. Not enforcing a right straight away doesn't mean we give it up. You can't transfer this agreement without our written consent; we can transfer it to someone who takes over the service. Notices to us go to help@junctionsoftware.com.au; notices to you go to your account's billing or admin email.
These terms are governed by the law of Queensland, Australia, and both of us submit to the courts of Queensland.
